Terms of Service

These Terms of Service ("Terms") govern your access to and use of https://www.runwellops.com (the "Site") and any services provided by Runwell, operated by 1001566650 ONTARIO INC. ("Runwell," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.

1. Who We Are

RunWell provides operational automation diagnostics, build plans, and done-for-you implementation for professional service firms. Specific deliverables, fees, and timelines are defined in separately signed engagement agreements (the "Engagement").

2. Eligibility

You must be at least 18 years old and authorized to bind your business to enter into an Engagement. The Site is intended for businesses, not consumers.

3. Use of the Site

You agree not to:

• Reverse engineer, scrape, or attempt to gain unauthorized access to any part of the Site
• Use the Site to send spam, malware, or unlawful content
• Misrepresent your identity or affiliation with any person or organization
• Interfere with or disrupt the Site or its underlying infrastructure

4. SMS / Text Messaging

If you submit your mobile number and check the SMS consent box on our contact form, you agree to receive transactional and service-related text messages from RunWell, including appointment confirmations, reminders, and follow-ups related to your inquiry. Message frequency varies. Message and data rates may apply, and carriers are not liable for delayed or undelivered messages. Reply STOP to opt out at any time, or HELP for help. 5. Fees and Payment

Fees for RunWell services are defined in your Engagement. Unless otherwise stated, fees are due before work begins and are processed through Stripe. Late payments may pause active work.

6. Guarantees and Refunds

The Blueprint is delivered within 48 to 72 hours of intake completion. Engine is delivered within 8 weeks of start date. Specific refund mechanics, exclusions, and conditions are governed by the signed Engagement, not these general Terms.

7. Intellectual Property

Site content (text, graphics, logos, and code) is owned by RunWell or its licensors and protected by intellectual property laws. You may not reproduce or republish Site content without written permission. Deliverables produced under an Engagement (workflows, documentation, runbooks) are licensed or assigned to you as specified in that Engagement; absent a contrary written agreement, you own the workflows and configurations we build inside your accounts.

8. Confidentiality

Information you share with RunWell in the course of a diagnostic or build is treated as confidential and used only to deliver the engaged services. RunWell may reference the existence of a client relationship and high-level results in marketing only with your written permission.

9. Disclaimers

The Site and any free resources are provided "as is" without warranties of any kind. RunWell does not provide legal, accounting, tax, medical, or financial advice. Diagnostic outputs and recommendations are informational; you are responsible for decisions made in reliance on them. For regulated activities, consult a licensed professional in your jurisdiction.

10. Limitation of Liability

To the maximum extent permitted by law, RunWell's total aggregate liability arising out of or relating to your use of the Site or any service is limited to the amount you paid to RunWell in the 12 months preceding the claim. RunWell is not liable for indirect, incidental, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold RunWell harmless from claims arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

We may suspend or terminate your access to the Site at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (IP, confidentiality, limitation of liability) survive.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and applicable federal laws of Canada. Disputes will be resolved in the courts of Ontario, except where prohibited by your local law.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date. Continued use of the Site after changes constitutes acceptance.
